SpyHuman Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the SpyHuman website and software operated by Ekayan Consultancy Private Limited ("we", "us", "our"). By creating an account or using the service, you agree to these Terms, together with our Lawful Use Policy, EULA, Privacy Policy, and Refund Policy. If you do not agree with any part of them, please do not use the service. These Terms are a binding contract, so please read them carefully.

1. Definitions

"Service" means the SpyHuman website, software, and related support. "Account" means the account you create to use the Service. "Subscription" means a paid plan giving access to certain features. "Content" means text, software, and other materials we provide. "You" means the person or organisation using the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter a contract to use SpyHuman. By using the Service you confirm you meet these conditions, that the information you give us is accurate and current, and that you will keep it up to date. If you use the Service for an organisation, you confirm you are authorised to accept these Terms on its behalf.

3. Lawful use is a condition of service

SpyHuman may be used only for the lawful, consent based purposes set out in our Lawful Use Policy: monitoring your own minor child, monitoring a device you own, or monitoring an employee device with prior disclosure and consent. SpyHuman is not a spying or secret surveillance tool. Any use outside the Lawful Use Policy is a breach of these Terms and may be unlawful, exposing you to civil and criminal liability.

4. Your account

You are responsible for keeping your login details secure and for all activity that happens under your Account. Do not share your credentials, and tell us at once if you suspect unauthorised use. We are not liable for loss arising from your failure to keep your Account secure. We may refuse, suspend, or close Accounts to protect the Service, other users, or to comply with the law.

5. Subscription, billing, renewal, and taxes

Some features require a paid Subscription. Prices, billing cycles, currencies, and what each plan includes are shown at checkout before you pay. The Premium plan is USD 17.99 per month, and a free plan is also available. Subscriptions do not renew automatically: your access continues to the end of the period you have paid for, and it then stops unless you choose to buy another period, so you are never charged again without taking that step. Refunds are handled under our Refund Policy, which offers a 14-day conditional refund. Prices may change, and where they do the new price applies to your next purchase rather than to a period you have already paid for.

Taxes and currency conversion. Purchases made in India are charged inclusive of GST, under GSTIN 24AAJCE2302D1ZC. Where you pay in a currency other than the Indian rupee, the exchange rate applied is set manually by Ekayan Consultancy Private Limited and is always at or below the prevailing official rate, because we do not use a live rate feed. Your bank or card issuer may add its own conversion or cross border charge, which is outside our control. Other taxes may apply based on your location and are your responsibility unless the law places them on us. Billing and payment questions should be sent to [email protected].

6. Acceptable conduct

You agree not to misuse the Service. In particular you must not:

• Break any law.
• Monitor a person without the right or consent required by law.
• Stalk, harass, or harm anyone.
• Interfere with the Service, its security, or other users.
• Attempt to gain unauthorised access to any system.
• Scrape or copy the Service beyond normal use.
• Copy, resell, sublicense, or reverse engineer the software, except where the law allows it despite this restriction.

We may investigate and take action, including suspension, for suspected breaches.

7. Intellectual property

All Content, trademarks, logos, and software on the Service are owned by us or our licensors and are protected by intellectual property law. We grant you a limited licence to use the Service as described in the EULA. You may not use our brand, logos, or Content without our written permission. If you send us feedback or suggestions, you grant us a licence to use them to improve the Service without obligation to you.

8. Third party services

The Service may link to or rely on third party services, such as payment processors or app platforms. We are not responsible for third party services, and your use of them is governed by their own terms and policies.

9. Suspension and termination

We may suspend or end your access, without refund, if you breach these Terms or the Lawful Use Policy, if we are required to by law, or where necessary to protect users or the Service. You may stop using the Service at any time and close your Account. On termination your licence ends, and you must stop using the software. Terms that by their nature should continue, such as intellectual property, disclaimers, liability, and indemnity, survive termination.

10. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties to the extent permitted by law, including as to accuracy, reliability, or availability of any data, such as location data. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential loss, and our total liability arising from the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim. We are not liable for any unlawful use of the software by you or a third party. Nothing in these Terms limits liability that cannot be limited by law, including certain consumer rights.

11. Indemnity

You agree to indemnify and hold us harmless against claims, losses, liabilities, and reasonable costs arising from your breach of these Terms or the Lawful Use Policy, or from your unlawful use of the Service.

12. Governing law and disputes

These Terms are governed by the laws of India. Subject to any mandatory rights you have where you live, the courts of Bhavnagar, Gujarat, India have jurisdiction over disputes. We encourage you to contact us first so we can try to resolve any concern directly and quickly.

13. General

These Terms, with the documents they reference, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in force. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them as part of a business transfer. We may update these Terms, and where changes are material we will update the date above and, where appropriate, notify you. Continued use after a change means you accept the updated Terms.

Our support team runs 1:30 PM to 10:30 PM IST, Monday to Saturday, by email and live chat only. SpyHuman support is online only: [email protected] and [email protected] are the only official routes, and no other channel is an official support route. Visiting the registered office for SpyHuman matters is not permitted, and no in-person or telephone support is provided for SpyHuman, because that address serves the separate consultancy business of Ekayan Consultancy Private Limited.
