End User License Agreement

This End User License Agreement ("Agreement") is a legal contract between you and Ekayan Consultancy Private Limited ("we", "us", "our") for the use of the SpyHuman software and any updates, documentation, and related services ("Software"). By installing or using the Software you accept this Agreement, together with our Lawful Use Policy, Terms and Conditions, and Privacy Policy. If you do not accept it, do not install or use the Software. Please read it carefully, as it sets out what you may and may not do with the Software.

1. Definitions

"Software" means the SpyHuman application, updates, and documentation. "Device" means a device you are lawfully entitled to monitor. "Subscription" means a paid plan that unlocks certain features. Terms defined in our Terms and Conditions have the same meaning here.

2. Licence grant

Subject to this Agreement and to an active Subscription where required, we grant you a limited, non exclusive, non transferable, non sublicensable, revocable licence to install and use the Software on Devices, for the permitted purposes in the Lawful Use Policy, for as long as your Subscription is active.

3. Lawful use condition

This licence is conditional on lawful use. You may use the Software only to monitor your own minor child, a device you own, or an employee device with prior written disclosure and consent. Any use outside the Lawful Use Policy immediately and automatically ends this licence, with no refund.

4. Restrictions

• You may not copy, modify, adapt, translate, reverse engineer, decompile, or disassemble the Software, or create derivative works, except to the extent the law expressly permits despite this restriction.
• You may not rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or your account.
• You may not remove, obscure, or alter any proprietary notice, identifier, or notification the Software displays.
• You may not use the Software to break any law, or to stalk, harass, or harm any person.
• You may not use the Software to build a competing product, or to circumvent usage limits or security measures.

5. Ownership and intellectual property

The Software and all intellectual property rights in it belong to us or our licensors. This Agreement grants a licence to use the Software, not any ownership of it. All rights not expressly granted are reserved. Any feedback you give us may be used to improve the Software without obligation to you.

6. Subscriptions and updates

Access to some features depends on an active Subscription governed by our Terms and Refund Policy. We may provide updates, patches, or new versions, which this Agreement also covers, and some updates may be required for the Software to keep working. We may change or discontinue features over time, and we will give notice where a change materially affects you.

7. Support

We provide reasonable support for the Software as described on our website and through the contacts on our Contact page. Support runs from 1:30 PM to 10:30 PM IST, Monday to Saturday, by email and live chat only. SpyHuman support is online only: no in-person or telephone support is provided, and visiting the registered office for SpyHuman matters is not permitted. Only [email protected] and [email protected] are official support routes, and no other channel is entertained. Support does not extend to problems caused by unsupported devices, unauthorised modifications, or use outside this Agreement.

8. Third party components

The Software may include third party or open source components that come with their own licence terms. Where that is the case, those terms apply to those components, and in a conflict they govern for that component only. We remain responsible for the Software as a whole as set out in this Agreement.

9. Term and termination

This Agreement applies from your first use until terminated. It ends automatically if you breach it. We may also suspend or terminate it, without refund, for breach of this Agreement or the Lawful Use Policy, or where the law requires. On termination you must stop using and remove the Software. Sections that by their nature should survive, such as ownership, disclaimers, liability, and governing law, will survive termination.

10. Warranty disclaimer

To the fullest extent permitted by law, the Software is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, non infringement, and the accuracy, reliability, or availability of any data, including location data. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

11. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, or for any unlawful use of the Software by you or a third party. Our total liability is limited as set out in our Terms and Conditions. Nothing limits liability that cannot be limited by law.

12. Export and compliance

You agree to use the Software in compliance with all applicable export, sanctions, and local laws, and not to use it where such use is prohibited.

13. Governing law

This Agreement is governed by the laws of India, and the courts of Bhavnagar, Gujarat, India have jurisdiction, without affecting mandatory consumer rights you have where you live.

14. Entire agreement, severability, and notices

This Agreement, with the documents it references, is the entire agreement between you and us about the Software. If any part is found unenforceable, the rest stays in force. Our failure to enforce a right is not a waiver of it. We may give notices through the Software, by email, or on our website.
